Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://www.simplesourceerp.com website, cloud platform, APIs, and mobile applications (Android and iOS) (collectively, the “Service”) operated by Simple Source ERP LLC dba Coder Republic (“Company”, “us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, subscribers, customers, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms then you may not access the Service.

1. Description of Service

The Service includes enterprise software solutions, web-based platforms, APIs, integrations, and mobile applications designed for business management and operational support.

We reserve the right to modify, suspend, discontinue, or restrict access to any part of the Service at any time without notice or liability.

2. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

You agree to:

  • Provide accurate information

  • Maintain account security

  • Notify us immediately of unauthorized access

We are not liable for losses resulting from unauthorized use of your account.

3. Fees, Billing & No Refund Policy

If you subscribe to paid services:

  • Fees are billed in advance unless otherwise agreed

  • All payments are final

  • No refunds shall be granted except where required by law

You acknowledge and agree that:

  • Access to the Service is subscription-based

  • Downtime, interruptions, feature changes, dissatisfaction, or unused time do not qualify for refunds

  • Failure to pay may result in suspension or termination

4. Service Availability & Downtime

Your use of the Service is at your sole risk.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee:

  • Continuous uptime

  • Error-free operation

  • Data preservation

  • Compatibility with devices or operating systems

We will use commercially reasonable best efforts to restore Service functionality if interrupted. However, we are not liable for:

  • Service outages

  • Data loss

  • Hosting failures

  • Cybersecurity incidents

  • Internet disruptions

  • Force majeure events

You are solely responsible for maintaining backups of your data.

5. Mobile Application Terms (Apple App Store & Google Play Compliance)

A. Acknowledgment

These Terms are between you and Simple Source ERP LLC dba Coder Republic only, and not with Apple Inc. or Google LLC.

B. Apple App Store Requirements

If you access the Service via an iOS application:

  • Apple is not responsible for the Service or its content.

  • Apple has no obligation to furnish maintenance or support services.

  • In the event of any failure of the application to conform to applicable warranty, you may notify Apple and Apple may refund the purchase price (if applicable). To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever.

  • Apple is not responsible for addressing claims relating to the app, including product liability, legal compliance, or intellectual property infringement claims.

  • You must comply with applicable third-party terms when using the app.

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

C. Google Play Requirements

If you download the app from Google Play:

  • Google LLC is not responsible for the Service.

  • Your use must comply with Google Play’s Terms of Service.

  • Google has no obligation to provide maintenance or support.

6. Intellectual Property

The Service and its original content, features, software, code, design, trademarks, and materials are and will remain the exclusive property of Simple Source ERP LLC dba Coder Republic and its licensors.

You may not:

  • Reverse engineer

  • Decompile

  • Modify

  • Redistribute

  • Create derivative works

Without prior written consent.

7. Third-Party Services & Links

The Service may contain links to third-party services or integrations.

We are not responsible for:

  • Third-party content

  • Privacy practices

  • Security practices

  • Service failures

Use of third-party services is at your own risk.

8. Termination

We may terminate or suspend access immediately, without notice or liability, for any reason, including breach of these Terms.

Upon termination:

  • Your license to use the Service ends immediately

  • We may delete stored data at our discretion

Provisions that survive termination include ownership, disclaimers, arbitration, indemnification, and limitations of liability.

9. Disclaimer of Warranties

The Service is provided without warranties of any kind, express or implied, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Reliability

  • Availability

We do not guarantee that the Service will meet your expectations or operate uninterrupted.

10. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.

  • Our total liability shall not exceed the amount paid by you in the three (3) months preceding the claim.

This applies regardless of legal theory.

11. Indemnification

You agree to defend, indemnify, and hold harmless Simple Source ERP LLC dba Coder Republic and its affiliates from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Service

  • Violation of these Terms

  • Violation of law

  • Data you upload or transmit

12. Binding Arbitration & Class Action Waiver

A. Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in the State of New Jersey.

Judgment on the award may be entered in any court of competent jurisdiction.

B. Waiver of Jury Trial

You waive the right to a trial by jury in any dispute.

C. Class Action Waiver

You agree that disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law provisions.

If any provision is invalid, the remaining provisions remain in effect.

These Terms constitute the entire agreement regarding the Service.

14. Changes

We reserve the right to modify or replace these Terms at our sole discretion.

By continuing to use the Service after revisions become effective, you agree to the updated Terms.

If you do not agree, you must stop using the Service.
